1. Overview
These Terms and Conditions ("Agreement") govern your participation in the Spite House Studios Affiliate Program ("Program"). By signing up, you agree to be bound by this Agreement. Spite House Studios, LLC ("Company," "we," "us") reserves the right to modify these terms at any time with reasonable notice.
2. Eligibility
You must be at least 18 years old and a legal resident of the United States to participate. By enrolling, you represent that you have the legal capacity to enter into this Agreement. The Company reserves the right to deny or revoke participation at its sole discretion.
3. Enrollment & Account
To participate, you must complete the signup process and provide accurate, truthful information including your legal name, email address, and a unique creator handle. You are responsible for maintaining the confidentiality of your account credentials. You may not transfer, sell, or assign your affiliate account to any third party.
4. Content Submissions
As an affiliate, you may be asked to create and upload original video content ("Content") for use in the Company's advertising and marketing campaigns. By uploading Content, you grant the Company a non-exclusive, worldwide, royalty-free, perpetual license to use, reproduce, modify, distribute, and display your Content for advertising, marketing, social media, and promotional purposes across all platforms and media.
You retain ownership of your Content. The license granted above does not transfer ownership. You may continue to use your Content for your own purposes. However, you may not license or sublicense the same Content to a direct competitor of the Company for advertising purposes during the term of your participation.
All Content must be original work created by you. You must not submit Content that infringes on any third party's intellectual property rights, contains defamatory or unlawful material, or violates any applicable law or regulation. The Company reserves the right to reject, remove, or request modifications to any Content at its sole discretion.
5. Campaigns & Compensation
The Company may offer various campaigns with different compensation structures:
- Upload Count Campaigns: Earn rewards based on the number of qualifying videos uploaded. Rewards may be per-video (paid per upload) or milestone-based (paid upon reaching a target count).
- Ad Spend Campaigns: Earn a percentage-based or flat-rate commission on advertising spend generated by your Content. Commission rates are set by the Company per campaign and displayed in your dashboard.
- Manual Campaigns: Earn rewards as determined and approved by Company administrators on a case-by-case basis.
Campaign terms, including compensation rates, reward amounts, target quantities, start and end dates, and eligibility requirements, are set by the Company and displayed in your affiliate dashboard. The Company may modify campaign terms for future periods but will honor committed terms for the current period.
Commission rates and reward amounts are determined at the Company's sole discretion and may vary by campaign. The Company reserves the right to create, modify, pause, or discontinue any campaign at any time. Published campaign terms will be honored for work already completed under those terms.
6. Payment Terms
Payments are made via ACH bank transfer only. To receive payments, you must complete your payment profile by providing valid U.S. bank account information (routing number, account number, and account type) and your tax information (W-9). The Company does not support PayPal, Venmo, check, or other payment methods at this time.
Commission entries are created by your assigned manager or automatically by the system upon campaign completion. Entries go through an approval process before becoming payable. The Company aims to process approved payouts in a timely manner but does not guarantee specific payment dates.
The Company reserves the right to withhold, adjust, or recoup payments in cases of suspected fraud, policy violations, chargebacks, or errors. Minimum payout thresholds may apply.
7. Tax Obligations
You are solely responsible for reporting and paying all taxes on income earned through the Program. You must provide accurate tax information (SSN or EIN) via the W-9 form in your affiliate profile. The Company may issue IRS Form 1099-NEC for earnings exceeding applicable reporting thresholds. Failure to provide valid tax information may result in payment delays or withholding as required by law.
8. Prohibited Activities
You may not:
- Submit Content that is not your original work or that infringes on third-party rights
- Use bots, scripts, or automated tools to artificially inflate upload counts or engagement metrics
- Create multiple accounts or use false identities
- Engage in any activity that manipulates or attempts to manipulate the Program's tracking or payment systems
- Make misleading or false claims about the Company, its products, or the Program
- Share confidential information about commission rates, internal processes, or proprietary campaign details with third parties
- Engage in any illegal activity in connection with the Program
Violation of these prohibitions may result in immediate termination of your account, forfeiture of unpaid commissions, and potential legal action.
9. Disputes
If you believe a commission entry is incorrect, you may file a dispute through your affiliate dashboard. Disputes must include a clear explanation of the discrepancy. The Company will review disputes in good faith and may adjust, approve, or deny the dispute at its discretion. Dispute resolutions are final.
10. Confidentiality
You agree to keep confidential any non-public information related to the Program, including but not limited to commission rates, campaign performance data, internal processes, and any proprietary information shared with you. This obligation survives termination of your participation.
11. Termination
Either party may terminate this Agreement at any time, for any reason, with or without notice. Upon termination:
- Your access to the affiliate dashboard and Program tools will be revoked
- Any approved but unpaid commissions will be paid according to the normal payment schedule
- Pending (unapproved) commission entries may be forfeited at the Company's discretion
- The Content license granted in Section 4 survives termination — Content already submitted and used in campaigns remains licensed to the Company
- You may request deletion of your personal data (excluding records required for tax and legal compliance) by contacting us
12. Limitation of Liability
To the maximum extent permitted by law, the Company's total liability to you under this Agreement shall not exceed the total commissions actually paid to you in the twelve (12) months preceding the claim. The Company is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, even if advised of the possibility of such damages.
The Program and all related tools are provided "as is" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
13. Indemnification
You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your participation in the Program, your Content, or your breach of this Agreement.
14. Modifications
The Company may update these Terms and Conditions at any time. Material changes will be communicated via email or through a notification in your affiliate dashboard. Continued participation in the Program after such notification constitutes acceptance of the updated terms. If you do not agree with the changes, you may terminate your participation as described in Section 11.
15. Governing Law & Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be resolved exclusively in the state or federal courts located in Texas. Both parties consent to the personal jurisdiction of such courts.
16. Entire Agreement
This Agreement constitutes the entire agreement between you and the Company regarding your participation in the Program and supersedes all prior agreements, understandings, and communications, whether written or oral. If any provision of this Agreement is found to be unenforceable, the remaining provisions shall remain in full force and effect.
